General Terms and Conditions
THEGreenBox Corporation Terms and Conditions of Sale and Licensing
PLEASE READ THESE GENERAL TERMS AND CONDITIONS OF SALE AND LICENSING VERY CAREFULLY.
THE CUSTOMER AGREES TO BE BOUND BY THIS AGREEMENT AND ACCEPTS ITS TERMS AND CONDITIONS (UNLESS THE CUSTOMER HAS SIGNED A SEPARATE FORMAL PURCHASE OR SUPPORT AGREEMENT WITH THEGreenBox Inc., A WA State Corporation, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN).
Important Information about This Legal Contract
This Agreement is a legal contract between the Customer and THEGreenBox Inc. The Customer accepts this Agreement by making a purchase, placing an order, or otherwise shopping on the website. (References to "you" or "your" shall relate to the Customer; references to "THEGreenBox" shall relate to THEGreenBox Inc., a WA State Corporation.) The terms and conditions of this Agreement are subject to change without prior notice, except that the terms and conditions at the time the Customer initially places or modifies an order will govern the order in question.
This Agreement constitutes the entire agreements between the Customer and THEGreenBox relating to the purchase and sale of goods or services. These Agreements may only be modified or terminated by a writing agreement signed by THEGreenBox. In any case all property rights, title, and copyrights in and to the software products and [PlugIns], including all documentation and any copies of the software product are owned by the origional branded company. In the case of purchased goods, THEGreenBox acts only as a reseller, holds no rights, and transfers no rights to the customer. All rights remain with the origional manufacturer unless other transfered by them to the Customer. The manufacturer controls the content and essense of the sale, for example if the product is licensed versus sold, and the manufacturer is repsonsible for representation of the products, as well as any and all support for the products, unless additional suport contracts are explicitly purchased from THEGreenBox at the time of sale and noted on the invoice and agreements.
The Customer consents to receiving electronic records, which may be provided via a web browser or e-mail application connected to the Internet; consumers may withdraw consent to receiving electronic records or have the record provided in non-electronic form by contacting THEGreenBox Inc.. In the event of any conflict between the terms and conditions stated on your purchase order or Invoice and this Agreement or any terms and conditions on our invoice, you agree that the provisions of this Agreement and our invoice shall control.
Governing Law
THIS AGREEMENT AND ANY SALES AND SUPPORT CONTRACTS HEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE STATE OF WASHINGTON, WITHOUT REGARD TO CONFLICTS OF LAWS RULES. THE CUSTOMER CONSENTS TO THE JURISDICTION OF THE FEDERAL OR STATE COURTS LOCATED IN THURSTON COUNTY, WASHINGTON FOR PURPOSES OF ANY SUIT, ACTION OR PROCEEDING ARISING OUT OF THIS AGREEMENT.
Title; Risk of Loss
THEGreenBox is a reseller in the transactions of goods, both hardware and software. We do not warrant the products in any way, and no implied service contract is supplied with this purchase.
We will complimentary answer questions resolved in 5 minutes or less, limited to 2x per month per account across all products and services. All other calls technical in nature will be billed at your normal account remote support rates in minimum 15 minute increments. You agree to these terms upon placing a service call with THEGreenBox, regardless of the method employed (email, support portal, telephone, fax).
TITLE to goods herein being purchased passes to the purchaser directly from the manufacturer based on the manufactures Terms and Conditions, without any interim assignment to THEGreenBox Inc.
Loss or damage that occurs during shipping by a carrier selected by the Manufacturer or Wholesaler’s is the Manufacturers or Wholesalers responsibility. Loss or damage that occurs during shipping by a carrier selected by Customer is Customer's responsibility. Title is never owned, transferred, or maintained by THEGreenBox, but is directly transferred by the manufacturer to the customer.
